A modern, fast-growing law firm is seeking a Senior Corporate Attorney to join its fully remote team serving high-growth startups, emerging companies, and modern businesses.

In this role, you will work directly with founders from formation through Series A and beyond. You will lead venture financings, including SAFEs, convertible notes, and preferred stock rounds, from term sheet to closing, and advise on startup structuring, founder equity, IP assignments, cap table planning, and corporate governance matters such as option plans, restricted stock, and 83(b) elections. You will also serve as outside general counsel on day-to-day legal matters, board governance, employment questions, and commercial contracts, with exposure to a growing M&A practice.

The ideal candidate has a JD, an active license in good standing, and 5+ years of corporate experience with a significant focus on venture capital and emerging companies, ideally gained at a Big Law firm or elite boutique. You should be confident owning matters and client relationships, speak the language of founders, and bring a practical, business-first mindset. Experience with M&A or complex capital events and an interest in legal tech and AI-enabled delivery are a plus.
